Position Summary
Retail Trade is a department within the Trade organization that helps bridge the gap between pharmaceutical manufacturers and our retail pharmacy, CVS Pharmacy. Among other things, Retail Trade works to provide pharmaceutical products and offerings to patients ensuring availability of quality products for patient therapy adherence. Retail Trade also encompasses various workstreams related to adjacent offerings from CVS Healthspire, Life Sciences Solutions, as well as data solution innovations from the Pharmaceutical Data Strategy & Analytics team and patient educational outreach services from the Trade Product Development team.
The Senior Legal Counsel, Pharmaceutical Contracting, provides strategic legal counsel to senior internal business partners supporting Retail Trade including in product development, services agreements, and healthcare-related regulations and law analysis and interpretation. This role partners closely with cross-functional stakeholders to identify legal and business risk, develop practical solutions that balance legal requirements with business objectives, and actively drive matters to timely completion.
The Senior Counsel will be expected to develop a keen understanding of Retail Trade and operational goals of assigned internal clients and work diligently to develop and maintain positive relationships with internal clients at all levels of the organization.
Major Responsibilities
- Retail Trade contracting and advisory support: Draft, review, negotiate, and interpret a wide variety of Retail Trade agreements, including enhanced strategic patient outreach agreements, shelf stock agreements, product purchase agreements, and dispensing data agreements. Advise internal clients on contract terms, requirements, and applicable healthcare legal/regulatory considerations. Assess business, economic, and operational impacts of contract positions and regulatory requirements; recommend practical paths forward. Support ongoing compliance with contractual and regulatory obligations. Partner with Legal, Compliance, Retail Pharmacy, and Privacy colleagues as needed to support Retail Trade and related activities.
- Trade Product Development contracting and advisory support: Draft, review, negotiate, and interpret a wide variety of Trade Product Development agreements, including patient educational outreach services new product request reviews, and patient educational outreach services agreements. Advise internal clients on contract terms, requirements, and applicable healthcare legal/regulatory considerations. Assess business, economic, and operational impacts of contract positions and regulatory requirements; recommend practical paths forward. Support ongoing compliance with contractual and regulatory obligations. Partner with Legal, Compliance, Retail Pharmacy, and Privacy colleagues as needed to support Retail Trade and related activities. Follow and continuously improve legal services request intake process and legal guidance tracking.
- CVS Healthspire Life Sciences Solutions and Pharmaceutical Data Strategy and Analytics contracting and advisory support: Draft, review, negotiate, and interpret a wide variety of data services related agreements. Advise internal clients on contract terms, requirements, and applicable healthcare legal/regulatory considerations. Assess business, economic, and operational impacts of contract positions and regulatory requirements; recommend practical paths forward. Support ongoing compliance with contractual and regulatory obligations. Partner with Legal, Compliance, Retail Pharmacy, and Privacy colleagues as needed to support. Help develop legal services request intake process and legal guidance tracking.
- Miscellaneous Project and Contract support: Build and maintain network of relationships across PBM, Corporate Affairs, CVS Healthspire, Aetna, CVS Pharmacy, and CVS Specialty Pharmacy, and other business unites to enable delivery of strategic and forward-thinking guidance. Assist with Trade contracts in other departments as needed and to build breadth of knowledge and skills.
Required Qualifications
- 7+ years of legal experience with a law firm or in-house with a healthcare company
- Admitted to practice law in at least one state and member in good standing of applicable state bar association(s)
Preferred Qualifications
- Experience with Retail Trade arrangements
- Intellectual curiosity and adopter of new technology, including AI, in the workplace.
- Strong knowledge of healthcare laws and regulations including federal Anti-Kickback statute and False Claims Act
- Experience in aspects of healthcare related to Retail Trade services.
- Experience drafting and negotiating complex services agreements, discount agreements, and data agreements in the Trade space.
- Ability to collaborate effectively and work as a team player.
- Excellent written and oral communication skills, initiative, and drive.
- Champion engagement by promoting a culture of innovation, collaboration, and continuous improvement.
- Operates with a keen process/function, data/reporting and project discipline being mindful of audiences and artifacts to convey the most efficient messaging.

Pay Range
The typical pay range for this role is:
$175,100.00 - $334,750.00
This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. Â The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. Â This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. Â This position also includes an award target in the companyâs equity award program.Â
