Project Title: Regional (India & South East Asia) Business Affairs for Small Catalogue Acquisition deals

- Direct reporting line: Head of Legal, India & South Asia
- Dotted reporting line: Central Legal or VP SCA.
- Mission:
The Senior Leader Business Affairs will be responsible for managing all SCA small catalogue acquisition processes for the territories of India & South East Asia ensuring efficient and legally sound execution of transactions. The role requires strong expertise in intellectual property (IP) laws and M&A transactions with knowledge of the local territories and with a focus on supporting the scalability of the business while ensuring adherence to Group legal standards and best practices.
- Key Responsibilities:
- Provide expert legal advice and support throughout all catalogue acquisition processes in India & South East Asia.
- Conduct and oversee legal due diligence processes, independently or in collaboration with external legal advisors, with a strong emphasis on IP and content rights.
- Draft, negotiate, and review all legal documents related to catalogue acquisitions, including:
- Non-binding offers (NBOs)
- Asset Purchase Agreements (APAs) and IP-related representations and warranties
- Ancillary documents and closing documentation
- Support closing and post-closing activities, including warranty claims and M&A-related litigation
- Collaborate with Central Legal & Business teams to scale the catalogue acquisition business throughout Asia
- Address and discuss (I) any material deviations from existing templates and (ii) potential legal / IP risks and mitigation recommendations, with Central Legal
- Develop and maintain local contract templates aligned with local legal requirements to enhance speed, scalability, and cost efficiency while managing risks
- Build and maintain up-to-date local legal intelligence on IP law and relevant regulatory developments
- Must Have:
- 7 to 9 years of experience within law firms and/or as in-house counsel, with a proven track record of IP/content rights-related transactions
- Strong problem-solving mindset,
- Excellent analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively with diverse stakeholders
- Fluency in English (spoken and written) required

- International work / education with experience of working in multi-country setup
