Mining Industry Attorney / Consultant [541690 Contract Contingent]

ProSidian Seeks a Mining Industry Attorney / Consultant located in Cape Town South Africa to support an engagement for U.S. Govt. International Technical Assistance Program (ITAP) providing assistance on technical, regulatory, environmental, and financial management for national development on a range of energy and non-energy resources.  Key Areas of Focus: 1) policy, legal, and regulatory reform; 2) technical, operational, and economic analysis; 3) financial mechanisms and market creation; 4) economic mgmt. , transparency and fiscal policy; 5) environmental impacts and social and community issues related to resource development.  ProSidian provides technical assistance and training related to four Capacity Challenges:  1) TECHNICAL understanding of resources and new extractive technologies / techniques 2) FINANCIAL mgmt.  of revenues from the sector 3) LEGAL best practices for international laws and regulations 4) ENVIRONMENTAL protectins for people and environment from sector impacts.  Typical country stakeholders include:  Govt.  officials (national, municipal, regional and village levels); Legislators; national, state, and local regulators; communities (inc. vulnerable groups). 

Candidates shall work to support requirements as a Mining Industry Attorney / Consultant and to provide industry technical expertise, experience, and support with Energy, Extractives, and Renewable Energy concerns such as financing and development of projects involving the exploration, extraction, processing, transportation, and sale of non-ferrous and precious metals, coal and other minerals. We strive to develop a deep understanding of our clients’ business goals and operations to develop tailored, efficient and cost-effective compliance strategies and legal solutions.  As the mining industry carries out its mission as an important contributor to manufacturing and economic development, it faces volatile market conditions and a myriad of complex and often overlapping international, federal, state and local laws that impact operations.  Candidates will advise and assist businesses and individuals involved in the mining industry on an array of legal and business issues that range from day-to-day personnel and operating concerns to complex regulation and litigation matters as well as policies and procedures pertaining to hazardous materials, land preservation, air and water quality, the protection of endangered species, mine safety and health concerns require mining industry leaders to stay vigilant with regard to compliance and violation management.

• Advise, train, and provide technical assistance to stakeholders across the entire spectrum of issues faced in operating and growing base and precious metal, industrial mineral and coal mines, both on the surface and underground offering broad experience navigating through the complex web of environmental, safety, permitting, land use, labor, and employment, transactional and financing hurdles.
• We assist with the full range of needs when permitting mines to the environmental review process and collaborate with technical consultants who seek to create an administrative record that can be a line of defense against litigation challenges.
• Advise and assist stakeholders to with land use and permitting, environmental and safety compliance and defense, mine safety, corporate and transaction services, governance, and risk management, closure plans and compliance with various site remediation laws.
• Work to help stakeholders understand the regulatory framework affecting the mining industry and connections with regulators as well as challenges complying with enforcement actions under local, state and federal environmental and safety laws.
• counsel policymakers and decision-makers on mine safety and requirements for occupational health and safety across all sectors of the mining industry.
• assist stakeholders in negotiating and drafting agreements for mining transactions, including exploration agreements, mining leases, royalty agreements and joint ventures, as well as a major asset acquisition, project financing, and similar agreements.
• - provide advice on in-depth environmental due diligence, title review, permitting and specific details regarding mineral, surface access, and water use rights.
• - the support due diligence reviews for potential purchasers of various mine operations (including copper, gold, coal, uranium and potash) including but not limited to review of all environmental and regulatory permits, mineral title, fee land title, easements, rights-of-way, water rights and supply, air quality, water quality, royalty obligations and other issues relating to mining operations
• provide Advise, technical support, and training regarding local mining industry issues such as acquisition and disposition of mine properties, mineral title examination, opinions, and curatives, royalty agreements and disputes, mining leases and joint-venture agreements, public and private financing, environmental and natural resources law, climate change issues, water resources and strategy
